These Terms & Conditions (“Terms”) govern all services provided by Velinx (“we”, “us”, “our”). By subscribing to or using Velinx, you (“you”, “the client”) agree to these Terms.

1. Scope of Services

Velinx provides web development, hosting, maintenance, updates, and operational support as defined in your selected plan. Services include:

• Website creation and ongoing updates

• Hosting, security, and performance management

• Content changes and design adjustments

• Technical support and operational assistance

Any work outside the plan’s defined scope is considered a variation.

2. Subscription Model

Velinx operates on a subscription basis. By subscribing, you agree to:

• Recurring monthly payments

• Automatic renewal unless cancelled

• Service delivery tied to an active subscription

If your subscription lapses, hosting, updates, and support may be paused.

3. “Unlimited Requests”

“Unlimited requests” means you may submit as many tasks as you need. To maintain quality and operational flow:

• Tasks are completed one at a time

• Larger tasks may be broken into smaller deliverables

• Turnaround times vary based on complexity

• Requests must align with your plan’s scope

We may decline tasks outside the service boundaries.

4. Client Responsibilities

You agree to:

• Provide accurate information, content, and instructions

• Ensure you have rights to all materials supplied

• Respond to requests for clarification when needed

• Maintain active payment details

Delays in providing information may delay delivery.

5. Payments

• All fees are billed in advance on a recurring basis

• Payments are processed through our payment provider

• Failed or overdue payments may result in service suspension

• Prices may change with notice

We do not offer refunds for partial billing periods.

6. Intellectual Property

• You retain ownership of all content you provide

• Velinx retains ownership of its internal systems, frameworks, and proprietary processes

• Upon cancellation, you may request an export of your website content (excluding proprietary Velinx systems or components)

Custom code or assets created specifically for your business may be transferred upon request unless otherwise stated.

7. Hosting & Infrastructure

Velinx manages hosting, security, backups, and performance. We are not responsible for outages or disruptions caused by:

• Third‑party hosting providers

• Internet or DNS issues

• External attacks or force majeure events

We take reasonable steps to maintain uptime and security.

8. Content & Compliance

You are responsible for ensuring your website content:

• Is accurate

• Complies with relevant laws

• Does not infringe on third‑party rights

We may remove or refuse content that is illegal, harmful, or violates platform standards.

9. Limitations of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid in the previous 3 months

• We are not liable for indirect or consequential loss, including lost revenue, lost leads, or business interruption

• We do not guarantee specific business outcomes, rankings, or performance metrics

Nothing in these Terms excludes rights under the Australian Consumer Law.

10. Project & Task Timelines

We aim for fast turnaround, but timelines may vary based on:

• Task complexity

• Volume of requests

• Third‑party dependencies

• Client response times

We will communicate delays where possible.

11. Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Services stop at the end of the billing period

• Hosting and updates may be paused or terminated

• You may request a content export

• Reinstating a cancelled site may incur a reactivation fee

We may cancel your service for non‑payment or misuse.

12. Confidentiality

We treat all client information, content, and business data as confidential and use it only to deliver your service.

13. Changes to Terms

We may update these Terms from time to time. Continued use of Velinx after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia.
